Nonprofit Law Blog: Parent-Subsidiary Structures ? Part II: Business ...

It is fairly common for a parent corporation to set up a subsidiary in part because it intends to enter into some business transactions with that subsidiary. For example, a 501(c)(3) nonprofit (referred to generally as a nonprofit in the rest of this post) and for-profit in a parent-subsidiary structure may enter into arrangements such as a transfer of programs, license to use intellectual property, split of royalties, or payment of dividends. Transactions between nonprofits and for-profits will generally trigger more scrutiny in a parent-subsidiary context because of concerns related to control and separateness (as discussed in Part I) and especially when benefits are conferred by the nonprofit to the for-profit. Below are some key considerations for a nonprofit when entering into business relationships within a parent-subsidiary context.

Nonprofits are not prohibited from transferring assets or providing goods or services to a for-profit parent or subsidiary (see, e.g., PLR 201125043); however, such transactions generally result in heightened attention on the nonprofit entity in particular because nonprofits cannot be organized to benefit private interests and are subject to strict laws that require them to be organized exclusively and operated primarily for exempt purposes. For-profits, on the other hand, have much more latitude in entering into business arrangements that may benefit private interests.

Nonprofits should not enter into this territory lightly as the IRS may deny or revoke tax-exempt status when impermissible benefits are conferred to a for-profit. The IRS has flagged issues, for example, when a nonprofit operated to provide a market for a for-profit business controlled by some of the nonprofit?s officers (see Church by Mail, Inc. v. Commissioner, 765 F.2d 1387 (9th Cir. 1985)); a nonprofit operated to increase income of a for-profit business owned by the nonprofit?s founder (see International Postgraduate Med. Found. V. Commissioner, 56 T.C.M. (CCH) 1140 (1989)); a nonprofit?s exclusive association with a for-profit business owned by the nonprofit's founders created substantial benefits for the for-profit (see KJ?s Fund Raisers, Inc. v. Commissioner, 63 T.C.M. (CCH) 669 (1997)); and a for-profit subsidiary carried on activities very similar to its nonprofit parent without any meaningful separation (see PLR 201044016).

Importantly, a nonprofit cannot assume a given transaction is in its best interest simply because the other party to the transaction is its parent or subsidiary. Common due diligence questions to ask before entering into a business transaction with any party, related or not, include:

  • Is the transaction in furtherance of the nonprofit?s exempt purposes?
  • Are the terms and conditions of the transaction fair and reasonable as to the nonprofit?
  • Is the for-profit paying at least fair market value in exchange for the goods or services received from the nonprofit?
  • Is the transaction being negotiated at arm?s length?
  • Is entering into the transaction in the best interests of the nonprofit?
  • Is there a conflict of interest, and if so, do we have a sound conflict of interest policy in place and are we enforcing it?

Additionally, when the parties have an ongoing relationship such as a parent-subsidiary relationship, it would be prudent to ask big picture questions that can help to expose red flags such as:

  • Do the activities of the nonprofit steer customers to the for-profit?
  • Does the for-profit benefit substantially from the nonprofit?s operations?
  • Do any directors, officers, or employees of the nonprofit benefit financially from the for-profit?s operations (e.g., as shareholders or through other ownership interests)?
  • Do the nonprofit and for-profit carry on similar activities and serve similar groups?
  • Are the benefits conferred by the nonprofit to the for-profit or private persons, if any, incidental to the exempt purposes of the nonprofit?

Another important consideration for a nonprofit parent specifically is whether it will be taxed on the income received from a for-profit subsidiary. When a nonprofit sets up a for-profit subsidiary for the purposes of generating income, the for-profit subsidiary will distribute income to the nonprofit parent that is generally considered unrelated business income to the nonprofit. The general rule for nonprofits is that certain passive income such as rent, interest, dividends, and royalties are not subject to the unrelated business income tax (UBIT) under Internal Revenue Code section 512(b). Some of these exclusions may not apply however if the passive income comes from an entity controlled by the nonprofit. Therefore, at least two important inquires for a nonprofit parent will be (i) whether it meets the IRS?s definition of ?control? which means owning ?at least 80% of the total combined voting power of all classes of stock entitled to vote and at least 80 percent of the total number of shares of all other classes of stock of the corporation? (IRC Section 368(c)); and if so, (ii) whether the income received has been properly classified by the nonprofit (e.g., dividends from a controlled entity continue to be excluded from UBIT under IRC section 512(b) while interest received will not be excluded from UBIT).

Accordingly, nonprofits that are involved in a parent-subsidiary structure with a for-profit must remember that the structure comes with both benefits and risks. The nonprofit and for-profit entities to a current or planned parent-subsidiary structure can help to maximize benefits and minimize risks by diligently exploring issues such as those that commonly occur with control, separateness, and business relationships.

Q: My wife and I moved out of our home last year and rented it to a couple. The property has many upgrades and was in excellent condition when we moved out. The tenants are on a month-to-month lease and I just received their 30-day notice of moving out for the end of next month.

I knew they might have to move because of a job situation, but they tell me that they are not going to pay the last month's rent. Instead, they want me to take the last month's rent out of their cleaning deposit. The cleaning deposit really isn't that much for such a nice home, but they claim that they will leave the house cleaner than it was when they moved in. Can they do that?

Also, when can I place my "for rent" sign on the property?

A: I can imagine that nearly every one of my readers who is a landlord knows the answer to this one and has had a tenant try to pull the same stunt. The answer is no. They can't do it legally, as the "cleaning deposit" is to be used solely for cleaning and any damage beyond ordinary wear and tear.

Many years ago landlords would collect "first and last month's rent plus a cleaning deposit" as the security deposit, and that is probably still in the minds of some renters. Or, more likely, some renters are just aware that many landlords will not object and will let the tenant essentially reduce the cleaning deposit by the equivalent of an entire month's rent. In most circumstances, that will not leave you with much money in case they don't leave the rental in immaculate condition.

So my advice is this: Don't let your tenants do this without a fight. I would immediately contact them in writing and tell them that the "cleaning deposit" is to be used only for any cleaning or excessive damages upon move-out, not rent. Tell them that you will immediately serve them with a legal notice for the unpaid rent if the rent is not paid in full no later than the due date. Be sure to mention that you will also charge and collect late charges, and that you will turn over their file to a tenant-landlord attorney if the rent is not paid in full before the legal notice expires.

This should be enough to discourage them unless they really are determined to not pay the rent for some nefarious reason like they just don't have the money. Of course, you need to be prepared to follow through if your tenants persist in this scheme to shortchange you on your cleaning deposit.

It sounds like this rental property is a large home and it can cost a lot to clean and repair damages, and you will want the full cleaning deposit to be available. The reality of today's rental market in most areas is that cleaning and security deposits are already very low due to the economy and that means there is no extra money to cover the last month's rent in most instances.

I understand that there are times when an honest tenant will truly leave the property in better condition than when he moved in, and that's great. But the agreement was that the rent would be paid each and every month, including the last month. Then the entire cleaning deposit will remain available to be used or refunded as needed and as determined by inspecting the property after the tenant has vacated the property.

Over the years, I have received countless questions from inexperienced or "too nice" landlords who fell for this tenant ploy only to find that the tenant left the rental home or apartment in horrible condition. They would have been OK if they had the full cleaning deposit. But now they had only a pittance of the cleaning deposit left after agreeing to let the tenant deduct the last month's rent. Then it is usually the case that the landlord is out of pocket to address the damage and cleaning needed beyond ordinary wear and tear with very little chance to ever recover their losses from the long-gone tenant.

While the final statement and disposition of the cleaning deposit will show that the tenant owes the landlord money, how easy is it to collect? It isn't and it would likely have been unnecessary if the landlord had demanded the tenant not use the cleaning deposit to cover any rent. But you need to tell them in writing that you reject their proposal and will take immediate legal action if necessary and remind them that any legal expenses incurred will be charged to them. That should discourage most tenants from this tactic.

Your second question is straightforward; you can place your "for rent" sign in front of the property as soon as you have received the written notice of intent to vacate from your tenant. In most states, you also have the right to enter the rental unit upon proper notice to show the property to prospective renters or purchasers too.

Now there are some landlords who prefer to show the rental property only after the tenant has vacated and all of the turnover work has been completed so the rental really shows well. I generally agree that it is better to show the rental unit when it is vacant and rent-ready, but there can be times when you have a very responsible tenant who keeps the rental home or apartment in a condition that can be shown. In that case, you may be able to reduce the "downtime" or lost rent between tenants, which is always important.

    Fantasy Football Rookie Bracket Match Up: Coby Fleener vs Brian Quick

    We here at Mocking the Draft put together a bracket to match up the top 32 rookie quarterbacks, running backs, wide receivers and tight ends drafted in April. Put simply, it's a NCAA tournament style bracket to help us decide which rookie will score the most fantasy points this coming season. If you want to see the updated bracket with the results of the first and second round, click here. Today's match up: Coby Fleener vs Brian Quick.

    Here we have the second quarter-final of the series. This will probably be the closest match up of this round.

    Why vote for Fleener?

    Luck loves his tight ends (I'm not talking about those ones...) and Fleener was his favorite tight end in college. At 6'6", 247 lbs, it's easy to understand why Luck loves to throw his way. He is a big red zone target, and has the receiving ability to create match up problems against NFL defenses. He's to fast and good as a receiver to be covered by linebackers, but too strong to be tackled by corners. Luck loved audibling his way into these match ups in college with Fleener, and there's no reason to believe he can't do it in the pro's.

    Why vote against Fleener?

    He is still a tight end, which on paper should receive less targets then a number one or two receiver. His blocking skills still need improvement if he's to sell defenses on play-action fakes, where he could see the majority of his receptions. Plus, we all know how much Luck likes to run the ball, which will take away from Fleener's receptions.

    Why vote for Quick?

    The Rams are desperate for someone to step up and be Bradford's go-to guy. Quick was drafted with that intention. With last year's leading receiver, Brandon Lloyd, no longer on the roster, there should be an open competition for playing time. Quick has a much better chance than Givens to win significant playing time early on in his rookie year, potentially even as a starter. If he can win that role, Bradford can certainly get him the ball.

    Why vote against Quick?

    While the Rams addressed on of their biggest needs, finding Bradford some targets, they failed to ensure that he his protected up front. In Bradford's rookie year, he saw some protection up front, and managed to lead the Rams to a 7-9 season despite a below average receiving corps. But last year, he found it hard to stay upright and get a throw off. If this remains the case this year, it won't matter who is at receiver.

    After reading the recent MENG blog post Never Lead with a Resume! by Peter Engler, it got me to thinking about the other things not to do as a job seeker.? The one that popped to mind first was Never Apply for a Job!

    As a job seeker it may feel like a sense of accomplishment by applying to an online job posting.? It?s a mental thing, like crossing something off of the ?to do? list.? You took the time to craft a bio, resume, and cover letter specific to the role.? You spent time filling out the candidate profile and uploading your resume into the ATS (Applicant Tracking System) of the hiring company, maybe as many as three times because it booted you out, didn?t save your profile, or you found out the job had expired when you hit ?enter.?

    Even with the technical frustrations, it?s less real work to apply online rather than take the time to network to the decision maker.? You can rationalize the behavior because the hiring company wants you to; otherwise they wouldn?t have posted the job, right?

    Here are some truths about applying online.? They are generalities but truths just the same.? Your resume is parsed through the ATS by key words before it?s viewed by a human. If it doesn?t pass the key word test you have now pigeon holed yourself for that employer, forever.? Remember all the work you did to customize your resume for the job?? Not only did it not work, you?ve probably eliminated any chance for other positions within the organization in the future.

    The first set of eyes on your resume are likely those belonging to a junior recruiter or HR specialist.? Junior usually means someone with 2-4 years of experience.? Follow the resume flow:? if you have a high enough percentage of key word matches for the ATS and then pass the muster in the eyes of a recent college grad, you are granted a phone screen.? The phone screen will probably be with that same recent grad who will ask you why you left your last company.? Pass that conversation and you make it to the hiring manager, where you are probably competing with candidates who were referred to that person by a trusted peer.? The fact is the odds do not favor the online applicant.? If you won?t take my word for it, ask your peer group how many of them found their current job by applying on-line.

    This doesn?t mean job boards or company recruiting web pages are a waste, quite the opposite.? Fishing where the fish are has always proved to be wise behavior.? But rather than applying on-line, get out your networking tool box and figure out who the hiring manager is and get in front of them before you ever even think of hitting the ?apply now? button.?     Wildfire devours structures in Colorado Springs

    WOODLAND PARK, Colo. (AP) ? More than 2,100 residents were being evacuated from the Air Force Academy's grounds Tuesday night as heavy smoke billowed from a wildfire that has burned an unknown number of homes near Colorado Springs.

    The academy was telling families to leave two main housing areas, but an area of the 28-square-mile campus that houses cadets wasn't immediately evacuated. A new class of cadets is still scheduled to report on Thursday.

    Fire officials had issued a pre-evacuation notice for the academy earlier Tuesday. El Paso County sheriff's officials have ordered an estimated 32,000 people to leave.

    Fire information officer Greg Heule said earlier Tuesday that the fire was less than five miles from the southwest corner of the Air Force Academy's campus.

    Television images showed homes burning and the Flying W Ranch southwest of the academy said on its website that the ranch had burned to the ground. Colorado Springs Fire Chief Richard Brown said "many, many homes" also have been saved.

    Meanwhile, authorities in central Utah found one woman dead Tuesday when they returned to an evacuated area, marking the first casualty in a blaze that consumed at least two dozen homes and appears to be taking a turn for the worst.

    Throughout the interior West, firefighters toiled in searing, record-setting heat that refused to relinquish its grip, as they struggled to contain blazes in Colorado, Utah and other Rocky Mountain states Tuesday.

    Colorado has endured nearly a week of 100-plus-degree days and low humidity, sapping moisture from timber and grass, creating a devastating formula for volatile wildfires across the state and punishing conditions for firefighters.

    "When it's that hot, it just dries the fuels even more. That can make the fuels explosive," said Steve Segin, a fire spokesman for the U.S. Forest Service.

    All of Utah and much of Wyoming, Colorado and Montana were under a red flag warning, meaning conditions were hot, dry and ripe for fires.

    Tuesday was the fifth consecutive day with temperatures of 100 degrees or higher in Denver, tying a record set in 2005 and 1989. On Monday, Denver set a record with 105 degrees. The previous record for June 25 was 100 degrees in 1991.

    Other areas of the state also topped 100 degrees Tuesday, including the northeastern Colorado town of Wray, which hit 108, the National Weather Service said.

    What the nation is now seeing is "a super-heated spike on top of a decades long warming trend," said Derek Arndt, head of climate monitoring at the National Climatic Data Center in Asheville, N.C.

    The U.S. set 107 new temperature records Monday and in the past week has set 782 of them, which are large numbers but hard to put in context because the data center has only been tracking the number of daily records broken for little more than a year, Arndt said.

    But what's truly impressive, Arndt said, is that in the past three days in Colorado and Kansas, nine sites have set records regardless of the date. Usually hottest-ever marks are set in the scorching months of July and August.

    The scorching heat doesn't appear to be letting up soon. Segin said such prolonged heat is "extremely taxing" physically on firefighters, who are working long days and carrying heavy gear.

    Television video from the 7-square-mile Waldo Canyon fire west of Colorado Springs, Colo., showed smoke and flames close to houses in a forested neighborhood northwest of Colorado Springs.

    The fire was 5 percent contained.

    Two specially equipped Air Force C-130 cargo planes were helping fight the fire, and a third was expected later in the day.

    With the nation's privately owned fleet of heavy air tankers already in use or unavailable, U.S. Forest Chief Tom Tidwell said his agency had to call on the military to help.

    Tidwell told The Associated Press in a phone interview Monday that about half of the nation's personnel who are usually assigned to large fires are working in Colorado right now.

    "It's just because it's so dry," Tidwell said. "Not unlike New Mexico ? they saw very low snowpack, especially in that lower country. Hot, dry winds with dry fuels, you get the ignition, and this is what we see."

    At the 136-square-mile High Park fire in northern Colorado, authorities increased the number of homes destroyed to 257, saying they found nine homes that hadn't been counted earlier. The total was already the highest of any wildfire in state history.

    That fire was 55 percent contained.

    In Utah, Sanpete County sheriff's officials haven't identified the body found or explained where the remains were found Tuesday morning while assessing damage in the area.

    On Tuesday morning, officials announced that the 60-square-mile Wood Hollow Fire was 15 percent contained and lifted some evacuation orders amid predictions they'd contain the blaze even further. But winds fanned the flames again by afternoon, forcing authorities to shut down part of U.S. 89 near Indianola amid fears that the fire would jump the highway.

    Evacuations were called for Fairview, a town of about 1,100 residents near the blaze, as the fire grew larger and more erratic.

    Elsewhere in the West:

    ? A fire that charred nearly 70 square miles west of Ruidoso, N.M., was 90 percent contained, with many residents allowed to return home.

    ? A wildfire north of Helena, Mont., destroyed four homes and forced additional evacuations. Gov. Brian Schweitzer issued a state of emergency for four counties.

    ? A wildfire in the Bridger-Teton National Forest grew from about 300 acres to 2,000 acres Tuesday, marking the first major wildfire of the season in western Wyoming.

    BEIJING: China is building a "golden" tourist complex in Nyingchi prefecture in Tibet, close to the disputed areas on the India-China border in Ar.

    The move is bound to affect the border talks between India and China because Beijing claims that Arunachal Pradesh is part of Nyingchi prefecture.

    Beijing's plans may involve attracting well-off Han Chinese from mainland China to settle in the border region to strengthen its claims over parts of Arunachal Pradesh, sources said.

    The announcement comes within a day of a meeting between Prime Minister Manmohan Singh and Chinese premier Wen Jiabao on the sidelines of the Rio+20 summit in Brazil.

    South China's Guangdong province will invest 400 million yuan ($63.5 million), apparently on the orders of the central government in Beijing. An additional investment of two billion yuan ($317 million) is expected to flow into Nyingchi from different enterprises once it develops as a tourist destination, Guangdong officials said.

    Nyingchi can be a "potential golden tourism resource" because of its abundant virgin forests, snow mountains, rivers and pastures, according to a Guangdong official. The central government has assigned the relatively prosperous Guangdong the role of Tibet's partner province.

    A romp in the rain for Rupp at Olympic trials

    (AP) ? Galen Rupp grew up in Oregon, so when he sees rain falling the way it did on the first day of Olympic trials, he sees an opportunity, not a roadblock.

    No wonder, then, that with rain pounding the track, Rupp was at his best. Running the 10,000 meters in a downpour Friday, Rupp still set a trials record, finishing in 27 minutes, 25.33 seconds.

    Next, he'll be off to another place where they know a little about rainy days ? London ? for a trip to his second Olympics.

    "I wasn't worried about it at all," said Rupp, who often has to wear a mask when he runs to keep his allergies from acting up. "I'm from Oregon. I love running in this weather. It's good for my allergies. I was excited to see it was really raining."

    His was the most impressive performance on opening day in rainy Eugene, save possibly for the effort decathlete Ashton Eaton put in. With Bruce Jenner watching from the stands, Eaton made it through the first five events on pace to break a 20-year-old American record held by Dan O'Brien.

    Later, in the women's 10K, Amy Hastings won in 31 minutes, 58.36 seconds to get the Olympic spot denied her when she finished fourth by 1:11 at the marathon trials earlier this year in Houston.

    "Coming across the finish line today, it was night and day different," Hastings said. "It was heartbreaking in Houston. I can't even believe it right now."

    While the long-distance runners and decathletes were grinding, the sprinters used Day 1 to warm up ? not a bad idea considering the wet chill that gripped Hayward Field all day long, leaving puddles on the track and turning parts of the infield mushy.

    Sanya Richards-Ross, LaShawn Merritt, Allyson Felix and Carmelita Jeter all made it through their opening heats with minimal problems.

    "Other than it messing up my hair, it's OK," Richards-Ross said after running her first 400-meter qualifier in 51.69 seconds.

    Merritt, the defending Olympic champion at 400 meters, took to the rain-slickened track, sidestepped a runner who slipped and fell in the lane next to him and finished in 45.36 seconds, the best time in the men's heats.

    "I saw him and I had to do a little step more toward the inside of my lane, where I should've been in the first place," Merritt said.

    Jeremy Wariner, the 2004 Olympic champion, also advanced to the semifinals, though his race wasn't quite such a breeze. He finished third in his heat in a time of 45.84.

    "Just clearing the cobwebs out," Wariner said. "I worked my turn pretty well. I saved a lot for the homestretch."

    David Neville, the 2008 Olympic bronze medalist, finished last in his heat and won't go to London unless he is chosen for the relay team.

    The 400 runners have semifinals Saturday, with finals scheduled for Sunday.

    In the women's 100, Felix and Jeter each won their heats easily.

    "It was OK. Just wanted to make it safely to the next round," said Felix, who is using the 100 to stay sharp for her main event, the 200. "I feel like tomorrow will be better. Always good to get that first one out of the way."

    In the women's 100 hurdles, Dawn Harper, the defending Olympic champion, won her heat in 12.79 seconds ? a victory she earned even though she didn't have the ideal, track-grabbing spikes in her shoes.

    "I actually change spikes" when it rains, she said. "Usually, the pointier ones grab the track. It was on my mind out there because I had the older ones in."

    Lolo Jones also qualified but not by much. She finished third in her heat for the last automatic qualifying spot after running 13.01. Her race was delayed when Shericka Ward false started.

    "I felt really good, but it was a bad race," Jones said. "After the false start, I just relaxed a little bit too much."

    Meet organizers scrubbed women's pole vault preliminaries, meaning all 29 athletes, including 2008 Olympic silver medalist Jenn Suhr, will move to finals Sunday.

    In the decathlon, Eaton was ahead of a world-record pace for two events. His shot put throw of 46 feet, 7 3/4 inches slowed him down, but he still ended the day with 4,728 points ? 322 ahead of Trey Hardee and 17 ahead of the pace O'Brien was on when he set the American record in 1992.

    "This is the culmination of a lot of hard work my team has put in," Eaton said.

    Eaton, an Oregon native, also closed the day by running in the pouring rain, finishing the 400 meters in 46.70 seconds. He looked very much at home.

    As did Rupp, who will be joined on the 10K team by Matt Tegenkamp (27:33.94) and Dathan Ritzenhein (27:36.09).

    After many months filled with injuries and the heartbreak of missing the marathon team by 8 seconds, Ritzenhein needed to beat the 'A' standard of 27:45 to qualify in the 10K. He did and made his third Olympics.

    "It's been a rough road," he said. "The last few years have been very difficult, for sure."

    So while he celebrates a spot in the Olympics, most of the rest were simply glad to still be in the hunt ? advancing on a slip-and-slide kind of day, knowing that under U.S. rules, the top three qualify ? no excuses or second chances, no matter the conditions.

    "You have to adapt to what the weather is, how the track is," Merritt said. "Know what you're doing before you get out there. You know the weather, the wind, and the track is slippery. It's all about going in with a plan and executing."

    More parents are pulling their kids from ?traditional? K-college public school system, finally standing up to a system NOT preparing kids and leaving kids/parents in heavy debt.

    ?Dear Mike, my husband and I read your latest comments on K-12 education. We agree wholeheartedly. Regularly, we read and enjoy your detailed comments and articles on K-12 education. Education is very important to us. We have 3 kids, ages 8, 10 & 13. Unfortunately, we are disappointed in our local school.? To be clear, we don?t blame teachers. Our kids have caring teachers. We are so frustrated with a curriculum that emphasizes testing and memorization.     This father repeats a common (and serious) concern ? today?s education policy makers mandate:

    1. Rote & regurgitation (aka ?drill & kill?)
    2. More (not less) TESTING
    3. Memorization ? that is,? very little emphasis on higher-order thinking skills (aka ?Bloom?s Taxonomy)
    4. Traditional curriculum that ignores kids? passions ? kids are bored out of their minds

    WHEN TRADITIONAL K-12 SYSTEM FAILS KIDS AND PARENTS

    In response to this parent, I shared the following in support of his wife?s and his decision to search for best alternative education experience for their son:

    ?Obviously, Tom, you know your son is not alone?nor is this ?point of contention? reserved just for your wife and you. LOTS of young people are bored out of their heads and LOTS of parents are frustrated out of their heads.

    Bottom line: you can force your son to comply with traditional standards and perform to your expectations or you can search alternative education. I prefer searching for alternative education. In fact, this topic is the exact core issue that drove me out of teaching in 2002.

    In mid 90s, I was part of a state delegation tasked with ?New Standards.? We were fed a line about being the pioneers who would form new (and exciting) standards allowing kids to compete globally. Sounded so damn noble.

    Problem is, EVERYONE sees today exactly what is happening in K-12 education: it?s now standardized testing up the ass with corporations led by ?education reformer? Jeb Bush banging down school doors on behalf of his corporate bed-buddies in order to grab more MILLIONS in profits, i.e. more testing, more test scoring, more test prep, more test remediation, more test training, etc.

    More testing is BIG $$$$$$ and the public is eating this shit up because the public (even most parents) swallowed a handful of *BLUE pills convincing them their kids have to work hard, get good grades, beat all standardized tests, get accepted to ABC Good College, grab a piece of sheepskin & live happily ever after.

    All the while kids? EXCITEMENT for learning is being stomped out, replaced with ROTE & REGURGITATION. In fact, let me challenge every parent among us: invest one week scrutinizing your kid?s (or kids?) homework.

    You will be shocked to discover ~90 or more percent is frickin? rote, where they?re expected to regurgitate.WHY? Teachers? asses are on the line to TEACH to these damn tests. Government has convinced you teachers are bad and that good teachers should earn merit pay when their students perform well on these tests.

    Guess what? The savvy teachers have realized they?ll sacrifice principles in order to stay off a ?bad teacher? list so their curricula has transitioned to focus on the tests.

    Your (and my) kids are suffering?THEY are the victims.

    Tom, what is happening to your son is NOT his fault. I?m not appeasing you ? I was IN THOSE CLASSROOMS for 16 years. No one EVER will convince me otherwise. I will stand up to millions as a lone ranger (though I?m not alone in blowing the whistle). Problem is, too many parents swallowed that handful of *blue pills ? they?re now hopeless pawns.

    So, Tom, what is a possible solution for your wife, you and son to consider? I think you already intuitively have come to the solution: you find out what your son?s passion? is.     **Confirm your son?s passions and then seek out people who are making money/living based off similar passions. Show your son he?s not alone and that it is possible to have fun LEARNING. Why do so many adults believe it?s impossible to make a living do what they love? Yeah, I know the answer > they swallowed a handful of blue pills?.
